Imapct Measurement provides the Supply Chain Manager web site, including the home page and other content (collectively, the "Supply Chain Manager Website") subject to your compliance with the terms and conditions below.

    Impact Measurement and other names, logos and icons identifying Impact Measurement and Impact Measurement products and services referenced herein are trademarks or registered trademarks of Impact Measurement. All other product and/or brand or company names mentioned herein are the trademarks of their respective owners.
  10. DISCLAIMER
    The software contained in this archive is provided "as is" without warranty of any kind. The entire risk as to the results and the performance of the software is assumed by the user, and in no event will Impact Measurement be liable for any consequential, incidental or direct damages suffered in the course of using the software in this archive.
  11. INTELLECTUAL PROPERTY
    You acknowledge that Impact Measurement own all right, title and interest in and to the Impact Measurement web utility, and software or content provided through or in conjunction with the Supply Chain Manager Website, including without limitation all Intellectual Property Rights. "Intellectual Property Rights" means any and all patent rights, copyright, trade secrets, trade and service marks, design rights, rights in or relating to databases, rights in or relating to confidential information and any other intellectual property rights throughout the world, whether registered or unregistered and including applications for any such rights.

    This Agreement, including any and all documents referenced herein, constitute the entire agreement between Impact Measurement and you pertaining to the subject matter hereof. Impact Measurement's failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provisions or right. If any of the provisions contained in this Agreement be determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions contained herein.
